Changes to Fund Regulations for SEB Active Funds
Several funds, as listed on the second page, are undergoing regulatory updates. These changes are approved by the Swedish Financial Supervisory Authority (Finansinspektionen) and will be effective on March 14, 2025. No action is required from customers, and the value of their investments will not be affected, but it’s important to be aware of the changes.
Key Changes:
- Fund Manager’s Name Change: The fund manager will change from SEB Investment Management AB to SEB Funds AB.
- Custodian’s Responsibilities: The description of the custodian's duties in the fund regulations is being updated to ensure that it aligns with Chapter 3, Section 4 of the Act (2004:46) on Securities Funds (*"LVF") and Chapter 9, Section 12 of the Act (2013:561) on Alternative Investment Funds.
- Fund Objectives: The fund objectives will be updated to better reflect their goals.
- Sustainability Criteria: A description of how the funds adhere to specific sustainability criteria and exclusion criteria for certain activities will be added. This includes information on environmental and social considerations, excluded activities, countries not invested in, and shareholder engagement.
- Swing Pricing (Adjusted NAV and Fund Share Value): A new mechanism will be introduced to adjust the fund's net asset value (NAV) and share value in response to large net inflows or outflows. This adjustment ensures that transaction costs arising from these flows are fairly allocated to the investors responsible for the transactions, protecting existing investors from bearing the costs of other investors' buying or selling of shares.
- Custodian’s Liability Limitation: The liability descriptions regarding the custodian's responsibility for financial instrument losses will be updated to comply with the latest regulations.
Important Dates:
The changes will enter into force automatically and unitholders do not need to do anything on their part. Unitholders who do not wish to continue investing in the fund(s) may redeem their units free of charge and cancel fund standing orders (if applicable).
- March 11, 2025: Last day to redeem investments in the funds before changes take effect.
- March 11, 2025: Final opportunity to sell the funds before changes take effect.
- March 14, 2025: Changes will be implemented.
